Subscription Terms

These Subscription Terms supplement our Terms of Service and govern the specifics of plan selection, billing, usage quotas, and account management for the ComplyTech API.

1. Plans and pricing

All prices are in GBP and exclusive of applicable taxes (VAT). Current pricing is displayed on our website and may be updated with 30 days' notice.

2. Billing and payment

  • Paid plans (Starter, Pro, Enterprise) are billed monthly in advance via Stripe.
  • Your billing cycle is anchored to the 1st of each month. When you subscribe mid-month, your first payment covers the full month's price and your full quota is available immediately. Regular billing begins on the 1st of the following month.
  • Payment is taken automatically. If a payment fails, we will retry up to 3 times over 7 days. If all retries fail, your account will be downgraded to the Free plan.
  • By agreeing to these terms, you acknowledge and adhere to the Late Payment of Commercial Debts (Interest) Act 1998.

3. Usage quotas

Each plan includes a monthly field quota as outlined above. Usage resets at the start of each month.

  • Understanding limit: We will return usage headers in the API response.
  • Exceeding limit: Once you hit 100% of your quota, subsequent API calls will return a 429 Too Many Requests response until your quota resets or you upgrade your plan.
  • No overage charges: We do not charge for requests beyond your quota; they are simply rejected. You will never receive an unexpected bill for overuse.

4. Rate limiting

In addition to monthly quotas, per-second rate limits apply to protect service quality:

Requests exceeding the rate limit will receive a 429 response with a Retry-After header. Implement exponential back-off in your integration.

5. Upgrades and downgrades

5.1 Upgrades

  • Upgrades take effect immediately.
  • You will be charged a pro-rated amount for the remainder of the current billing cycle.
  • Your new monthly quota and rate limits apply straight away.

5.2 Downgrades

  • Downgrades take effect at the start of the next billing cycle.
  • You retain your current plan's features until the end of the paid period.
  • No partial refunds are issued for downgrades mid-cycle.
  • If you downgrade to a plan that does not include a framework you are currently using, API calls specifying that framework will be rejected from the next billing cycle.

6. Free plan

  • The Free plan is available indefinitely with no credit card required.
  • Free plan accounts that have been inactive (zero API calls) for 12 consecutive months may be deactivated. We will send a 30-day warning email before deactivation.
  • ComplyTech reserves the right to modify Free plan limits at any time with 30 days' notice.

7. Cancellation and refunds

  • You may cancel your paid subscription at any time by emailing contact@comply-tech.co.uk.
  • Cancellation takes effect at the end of the current billing period. You will not be charged again.
  • Upon cancellation, your account reverts to the Free plan (2,000 fields/month, 10 requests/minute, GDPR only).
  • Refunds: We do not offer pro-rated refunds for partial months. Refunds are provided at our discretion only in cases of demonstrable service failure on our part.

8. API key management

  • Each account is issued one API key upon sign-up.
  • You are responsible for keeping your API keys secure. Do not expose keys in client-side code, public repositories, or front-end applications.
  • If you believe a key has been compromised, contact us immediately at contact@comply-tech.co.uk and we will revoke and reissue it.
  • ComplyTech is not liable for any unauthorised usage resulting from your failure to secure API keys.

9. Data processing under subscription

  • All data submitted to the API is processed in real time and is not stored after the response is returned, unless you have opted into logging for debugging purposes.
  • We act as a data processor; you remain the data controller. See our Privacy Policy for full details.
  • Enterprise customers requiring a signed Data Processing Agreement (DPA) should contact contact@comply-tech.co.uk.

10. Service availability

  • We target 99.9% API uptime for all paid plans.
  • Enterprise plans include a formal SLA with 99.99% uptime and defined remedies for downtime.
  • Planned maintenance windows will be communicated at least 48 hours in advance via email.
  • The Free plan is provided on a best-effort basis with no uptime guarantee.

11. Changes to subscription terms

We may update these Subscription Terms from time to time. Material changes (such as price increases or reduction in quotas) will be communicated with at least 30 days' notice via email. Your continued use of a paid plan after the effective date constitutes acceptance. If you do not agree with changes, you may downgrade or cancel before they take effect.

12. Enterprise plans

Enterprise subscriptions are governed by an individual contract that may include:

  • Custom API rate limits and quotas
  • Dedicated support channels and named account manager
  • Signed Data Processing Agreement (DPA)
  • 99.99% SLA with financial remedies
  • Annual billing options
