Terms of Service

Please read these Terms carefully before using the ComplyTech API or website. By accessing or using our services, you agree to be bound by these Terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the entity you represent, "Customer") and ComplyTech Ltd ("ComplyTech", "we", "us"). They govern your access to and use of the ComplyTech compliance API, dashboard, documentation, and related services (collectively, the "Service").

If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. The Service

ComplyTech provides a compliance-as-a-service API that automatically detects and anonymises personal data in accordance with privacy regulations including GDPR, HIPAA, CCPA, and others.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with reasonable notice where practicable. We will not be liable to you for any such modification, suspension, or discontinuation.

3. Account registration

  • You must provide accurate and current information when creating an account.
  • You are responsible for maintaining the security of your API keys and credentials. Do not share API keys or expose them in client-side code.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old or the age of majority in your jurisdiction to create an account.
  • Notify us immediately at contact@comply-tech.co.uk if you suspect any unauthorised use of your account.

4. API usage and acceptable use

4.1 Permitted use

You may use the Service to process data for legitimate compliance purposes, including making datasets GDPR, HIPAA, CCPA, and other regulation compliant, as part of your software products and services.

Customer agrees to indemnify and hold harmless ComplyTech from claims arising from Customer’s misuse of the Service or violation of applicable law.

4.2 Prohibited uses

You must not:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Attempt to reverse engineer, decompile, or extract source code from the Service.
  • Resell or sublicense access to the API without our written consent.
  • Probe, scan, or test the vulnerability of our systems without authorisation.
  • Use the Service in a manner that interferes with or disrupts our infrastructure.
  • Circumvent or attempt to circumvent usage limits or rate limits.

4.3 Rate limits

Each plan has associated rate limits and monthly processing quotas as described on our pricing page. Exceeding these limits may result in throttling or additional charges per your plan terms.

5. Pricing and payment

  • Paid plans are billed monthly or annually in advance. The Free plan is free with no credit card required.
  • All fees are exclusive of applicable taxes (VAT, GST, etc.), which will be added where legally required.
  • We reserve the right to change pricing with 30 days' written notice. Existing subscriptions continue at the old rate until renewal.
  • All sales are final. Refunds are provided at our discretion and only for demonstrable service failures on our part.
  • By agreeing to our terms of service, you acknowledge and adhere to the Late Payment of Commercial Debts (Interest) Act 1998, in particular terms 2–4, alongside the entire Act.

6. Data processing

To the extent that you process personal data through our Service on behalf of your end users, we act as a data processor and you act as the data controller. Our processing of such data is governed by our Privacy Policy and, where applicable, any Data Processing Agreement you execute with us.

Enterprise customers who require a signed Data Processing Agreement (DPA) for GDPR or HIPAA compliance should contact contact@comply-tech.co.uk.

We will notify you without undue delay upon becoming aware of a personal data breach affecting data processed on your behalf.

7. Intellectual property

The Service, including all software, algorithms, documentation, and branding, is owned by ComplyTech and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

You retain ownership of any data you submit through the API. By submitting data, you grant us a limited licence to process it solely for the purpose of delivering the Service.

8. Service levels and uptime

We target 99.9% API uptime. Enterprise plans include a formal SLA of 99.99% with defined remedies for downtime.

We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures, cyberattacks, or acts of God.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While ComplyTech helps you implement compliance controls, we do not guarantee that use of the Service will result in full compliance with any specific regulation. You remain responsible for your own compliance obligations.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLYTECH'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) £100. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

11. Termination

You may terminate your account at any time by emailing contact@comply-tech.co.uk. Termination of a paid plan takes effect at the end of the current billing period.

We may suspend or terminate your access immediately if you breach these Terms or if we believe your use poses a risk to our platform or other users.

12. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer in the EU (in which case mandatory consumer protection laws in your country of residence may apply).

13. Changes to these Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or a notice in the dashboard. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
